Acceptance of the Terms of Use

XPRIZE Design Studio is a 3-part, 75-minute video course covering the history of prize competitions, types of prizes, and how to design an XPRIZE, followed by the opportunity to submit your own idea for an XPRIZE competition by responding to a series of prompts, wherein you will describe how a competition can be leveraged to produce solutions for a challenge facing one of five domains – Climate + Energy; Food + Water + Waste; Deep Tech; Learning + Society; or Space + Exploration. 

Eligibility: BY SUBMITTING YOUR IDEA, YOU CONFIRM THAT YOU ARE : (A) AT LEAST EIGHTEEN (18) YEARS OF AGE; OR (B) OF THE AGE OF MAJORITY UNDER LAWS OF THE  COUNTRY OF YOUR RESIDENCE TO ENTER INTO THIS AGREEMENT. THE DESIGN STUDIO 2025 CAMPAIGN (“Campaign”) IS NOT OPEN TO RESIDENTS OF CUBA, IRAN, NORTH KOREA, SYRIA, THE CRIMEA REGION OF UKRAINE, OR ANY OTHER UNITED STATES-SANCTIONED COUNTRY. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

By making this electronic submission, you agree that such submission is gratuitous and made without restriction and XPRIZE is free to disclose the ideas contained in the submission on a non-confidential basis to anyone or otherwise use the ideas without any compensation  and in perpetuity.

You represent and warrant that you have obtained all necessary consents, approvals, permissions, licenses, and other documents relating to your submission that may be required from any other third party to permit the use of the submission or any part thereof, including, without limitation, any waiver of moral rights. You represent and warrant that (i) your submission does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; (ii) you are the owner of the content within this submission and grant to XPRIZE an unlimited, worldwide, perpetual, royalty-free, license and right to publish and use the submission in any manner in any and all media, without limitation, and without consideration; and (iii) you waive any moral rights you may have in the submission. For the purpose of this Campaign, XPRIZE will own any intellectual property, content, or work products presented in your submission.

Start/End Dates. Campaign begins at 9:01 a.m. Pacific Time on February. 18, 2025 and ends at 11:59 p.m. Pacific Time on April 15, 2025 (“Campaign Period”).

Submission Guidelines and Content Restrictions: By entering, each entrant agrees that his or her Submission conforms to the content restrictions set forth below (the “Content Restrictions”) and that XPRIZE, in its sole discretion, may remove any Submission and disqualify an entrant from the Campaign if it believes, in its sole discretion, that the entrant’s Submission fails to conform to the Content Restrictions. 

Content Restrictions: 

• The Submission must not contain material that violates or infringes any rights of any other party, including but not limited to copyright, trademark, privacy, publicity or any other intellectual property rights or civil rights; 

  • The Submission must not in any way disparage XPRIZE or any other person or party; 

  • The Submission must not contain material that is inappropriate, indecent, obscene hateful, tortious, defamatory, slanderous or libelous;

  • The Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; 

  • The Submission must not contain material that is unlawful, in violation of or contrary to the laws, regulations or, if applicable, socialist morals of any jurisdiction where Submission is created; 

  • The Submission cannot promote illegal drugs or firearms (or the use of any of the foregoing), or any activities that may appear unsafe or dangerous, or any particular political agenda or message; and 

  • The Submission must be consistent with the image and values of XPRIZE and be consistent with and satisfy the purpose of the Campaign. 

If your idea is selected to move forward, the prize design process may include:

  • A virtual meet and greet with a domain expert

  • The possibility to participate in a more in-depth annual prize design discovery process

  • Promotion of your name and selected idea on LinkedIn*

  • *You will need to opt in during registration and provide your LinkedIn information to be tagged

  • XPRIZE Swag

Notification. Winning ideas will be selected by June 02, 2025 and will be announced on XPRIZE's LinkedIn. Individual winners will be notified by the email they provided during course registration. 

PARTICIPANTS TO THIS CAMPAIGN  HEREBY AGREE TO RELEASE AND HOLD HARMLESS XPRIZE, XPRIZE DIRECTORS, OFFICERS, SHAREHOLDERS, EMPLOYEES, ASSIGNS, AGENTS FROM AND AGAINST ANY LIABILITIES, LOSSES, CLAIMS, DEMANDS, COSTS, INCLUDING WITHOUT LIMITATION REASONABLE ATTORNEYS’ FEES AND EXPENSES ARISING IN CONNECTION WITH ANY BREACH OR ALLEGED BREACH BY YOU OF ANY OF THE ABOVE REPRESENTATIONS, WARRANTIES OR AGREEMENTS.

 Disputes; Governing Law. Wherever enforceable, the parties waive all rights to trial in any action or proceeding instituted in connection with these Terms and Conditions, including, without limitation, the Campaign. Wherever enforceable, any controversy or claim arising out of or relating to these Terms and Conditions and/or the Campaign shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of Texas. WHEREVER ENFORCEABLE, THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF TEXAS WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Terms and Conditions and/or in connection with the entering of any judgment on an arbitration award in connection with these Terms and Conditions and/or the Campaign, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to the County of Dallas in the State of Texas. The parties agree not to raise the defense of forum non conveniens. 

If you are affiliated with a Design Partner that has 20 or more participants submitting an idea through the Design Studio, aspects of your participation may be shared with your employer and/or organization, including your department and any winning or notable idea submissions. Your name and email address will not be shared.

If you are selected a winner of the 2025 Design Studio Campaign, XPRIZE will use the LinkedIn profile shared in your registration to tag you in a winner announcement following the conclusion of the campaign in June 2025.
